Who We Are

Soffia Wealth, Inc. ("Soffia," "we," "us," or "our") operates an AI-powered investing education and wealth management platform accessible at soffia.net and through our mobile applications. Soffia's mission is to democratise access to the investing education and financial guidance that high-net-worth individuals receive from private wealth managers.

Soffia is registered (or in the process of registering) as an investment adviser with the relevant state securities regulators. Investment accounts opened through the platform are held in custody by Altruist Corp, a registered investment adviser and member of the Securities Investor Protection Corporation (SIPC).

Eligibility

To use Soffia you must:

• Be at least 18 years of age;
• Be a legal resident of the United States;
• Have the legal capacity to enter into a binding agreement; and
• Not be prohibited from receiving financial services under applicable US law.

By creating an account you represent and warrant that you meet all of the above requirements. We may ask you to provide documentation to verify your identity and eligibility at any time.

Account Registration and Security

To access most features of the platform you must register for an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep that information current.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@soffia.net if you suspect unauthorised access to your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, including where we believe information provided is inaccurate or where use of the platform violates these Terms.

Subscription Plans and Billing

Soffia offers the following service tiers:

• Free: Access to Track 1, Lessons 1–7 and limited platform features at no cost.
• Soffia+: Full curriculum access (Tracks 1–6) and all core platform features, billed monthly or annually.
• Soffia Pro: All Soffia+ content plus advanced curriculum and Pro coaching features, billed monthly or annually.
• Soffia Alpha: Discretionary portfolio management. Available in a future phase subject to regulatory authorisation.

Paid subscriptions are processed through Stripe, Inc. By subscribing, you authorise Stripe to charge your selected payment method on a recurring basis at the stated price. Prices are listed in US dollars and are subject to applicable taxes.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods except where required by applicable law.

We reserve the right to change pricing with at least 30 days' notice to your registered email address. Continued use of a paid tier after a price change takes effect constitutes your acceptance of the new pricing.

The AI Coach — Educational Service Only

The AI coach is designed to explain how financial markets, instruments, and investment concepts work. It follows a deliberate curriculum sequence and is governed by a strict educational framework. It will not tell you what to do with your specific portfolio, account balance, or financial situation.

Soffia's governing rule — "Soffia tells users how the world works. It never tells them what to do in it." — applies to every lesson, every coaching response, and every interaction on the platform. You remain solely responsible for any investment decisions you make.

If you require personalised financial or investment advice, please consult a licensed financial adviser. If you require tax advice, please consult a qualified tax professional.

Investment Accounts and Brokerage Services

Soffia enables users to open self-directed brokerage accounts held in custody by Altruist Corp. Altruist Corp is a registered investment adviser and SIPC member. Investment accounts are subject to Altruist's own terms of service, customer agreement, and applicable regulatory requirements, which you will be presented with at account opening.

Eligible investment accounts are protected by SIPC up to $500,000 (including up to $250,000 for cash claims). SIPC protection does not cover investment losses resulting from market fluctuations. For more information about SIPC coverage, visit sipc.org.

You are solely responsible for the investment decisions you make in your account. Soffia does not make investment recommendations and does not manage your account on a discretionary basis during Phase 1 of the platform's operation.

Investing involves risk, including the possible loss of principal. Past performance is not indicative of future results.

User Conduct

By using the platform you agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorised access to any part of the platform or its systems;
• Reproduce, distribute, modify, or create derivative works of any platform content without our prior written consent;
• Use automated tools, bots, or scripts to access or interact with the platform;
• Misrepresent your identity or affiliation with any person or entity;
• Post or transmit any content that is unlawful, defamatory, fraudulent, or harmful to others; or
• Interfere with the proper functioning of the platform or the experience of other users.

Intellectual Property

All content on the Soffia platform — including the AI coach curriculum, lesson scripts, interface design, brand identity, and software — is owned by Soffia Wealth, Inc. or its licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the platform for your personal, non-commercial educational purposes. This licence does not permit you to copy, reproduce, distribute, publish, or commercially exploit any platform content.

Any feedback, suggestions, or ideas you submit to us may be used by Soffia without restriction or compensation to you.

Privacy and Data

Your use of the platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. Our use of cookies is described in our Cookie Policy. By using the platform you consent to the data practices described in those policies.

Disclaimers

The platform and all content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or harmful components. We do not warrant the accuracy, completeness, or timeliness of any information provided on the platform, including any market data or financial information.

General financial education content, including curriculum lessons and AI coach responses, reflects the state of publicly available information and financial concepts at the time of production. It does not constitute financial advice and should not be relied upon as such.

Limitation of Liability

To the fullest extent permitted by applicable law, Soffia Wealth, Inc. and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or investment returns — arising out of or relating to your use of the platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees you paid to Soffia in the 12 months preceding the claim or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Soffia Wealth, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

Termination

You may close your Soffia account at any time by contacting us at support@soffia.net. Closing your account will stop future subscription billing and remove your access to paid features.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if we discontinue the platform or any part of it. Upon termination, the provisions of these Terms that by their nature should survive — including disclaimers, limitations of liability, and governing law — will continue to apply.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or your use of the platform shall first be submitted to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, with proceedings conducted in English. The arbitration shall take place in Delaware unless the parties agree otherwise. Class action and class arbitration are waived to the fullest extent permitted by law.

Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email to your registered address and/or by displaying a notice on the platform at least 14 days before the changes take effect. Your continued use of the platform after the effective date of any updated Terms constitutes your acceptance of those changes.

If you do not agree with updated Terms, you may close your account before the effective date.
